1. Acceptance of Terms

By accessing or using Diemunze ("the Service"), operated at app.diemunze.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Diemunze is a portfolio management platform for venture capital and private equity investors. The Service helps users track fund commitments, capital calls, distributions, K-1 documents, and portfolio analytics.

3. Accounts

You must provide accurate and complete information when creating an account
You are responsible for maintaining the security of your account credentials
You must notify us immediately of any unauthorized access to your account
You are responsible for all activity that occurs under your account

4. Your Data

You retain ownership of all investment data, documents, and information you upload to Diemunze. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

You are responsible for the accuracy and legality of the data you provide.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service or its infrastructure
Reverse-engineer, decompile, or disassemble any part of the Service
Upload malicious content or code
Resell or redistribute the Service without authorization

6. Not Financial Advice

Diemunze is a data management and tracking tool. Nothing in the Service constitutes financial, investment, tax, or legal advice. Portfolio analytics, IRR calculations, AI-generated summaries, and any other insights are provided for informational purposes only. You should consult qualified professionals for financial and tax decisions.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue features at any time with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by law, Diemunze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, you may request an export of your data within 30 days.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.
